Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your use of Youfiliate (“the Service”), operated by Youfiliate (“we,” “us,” or “our”), located in Lisbon, Portugal.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Youfiliate is a SaaS platform that helps YouTube creators identify broken affiliate links in their publicly available video descriptions and recover lost revenue. The Service analyzes publicly available YouTube data and provides reports and recommendations.

3. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this requirement.

4. Account Registration

To use the Service, you must create an account with a valid email address and password. You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activity that occurs under your account.
  • Notifying us immediately at andrew@youfiliate.com if you suspect unauthorized access.

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscriptions and Payment

5.1 Plans and Pricing

The Service offers free and paid subscription plans. Details of available plans and pricing are displayed on our website and may be updated from time to time. Price changes will not affect your current billing period.

5.2 Billing

Paid subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). Payment is processed securely by Stripe, Inc. By subscribing, you authorize us to charge your payment method on each billing cycle.

5.3 Free Trials

We may offer free trials at our discretion. At the end of a trial period, your account will be charged for the selected plan unless you cancel before the trial ends.

5.4 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • You will retain access to the paid features until the end of your current billing period.
  • No refunds will be issued for partial billing periods.
  • Your account will revert to the free plan (if available) or become inactive.

5.5 Refunds

We generally do not offer refunds. If you believe you have been charged in error, contact us at andrew@youfiliate.com within 14 days of the charge, and we will review your request.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose.
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use automated tools (bots, scrapers, etc.) to access the Service outside of its intended functionality.
  • Resell, sublicense, or redistribute access to the Service without our written consent.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Upload or transmit malicious code, viruses, or harmful content.

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice.

7. Intellectual Property

7.1 Our Property

The Service, including its design, code, branding, logos, and documentation, is owned by Youfiliate and protected by applicable intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

7.2 Your Data

You retain ownership of any data you provide to the Service (e.g., your channel URLs and configurations). By using the Service, you grant us a limited license to process your data as necessary to provide the Service.

7.3 Public YouTube Data

The Service analyzes publicly available YouTube data. We do not claim ownership of any YouTube content. YouTube content is subject to YouTube’s own Terms of Service.

8. Data and Privacy

Our collection and use of personal data is governed by our Privacy Policy. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

9. Service Availability and Modifications

We aim to provide reliable, uninterrupted access to the Service, but we do not guarantee 100% uptime. We may:

  • Temporarily suspend access for maintenance, updates, or security reasons.
  • Modify, update, or discontinue features of the Service at any time.
  • Discontinue the Service entirely with 30 days’ notice to active subscribers.

We will make reasonable efforts to notify you of significant changes.

10. Third-Party Services

The Service integrates with third-party providers including Stripe (payments), SendGrid (email), and others. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability or practices of third-party services.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to:

  • Merchantability or fitness for a particular purpose.
  • That the Service will be error-free or uninterrupted.
  • That affiliate link analysis will be 100% accurate or complete.
  • That use of the Service will result in increased revenue.

YouTube may change its platform, APIs, or data availability at any time, which may affect the functionality of our Service.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Youfiliate shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, data, or business opportunities, arising from your use of the Service.

Our total cumulative liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

13. Indemnification

You agree to indemnify and hold harmless Youfiliate from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any third-party rights.

14. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. You may terminate your account at any time by contacting us at andrew@youfiliate.com or through your account settings.

Upon termination:

  • Your right to access the Service ceases immediately (or at the end of your billing period, for cancellations).
  • We may delete your account data in accordance with our Privacy Policy.

15. Governing Law and Disputes

These Terms are governed by the laws of Portugal and the European Union. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Lisbon, Portugal.

If you are a consumer in the EU, you may also be entitled to use the European Commission’s Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after updated Terms take effect constitutes acceptance of those Terms.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Youfiliate regarding your use of the Service.
